Preparatory Consultation

Establishing a thorough understanding of your business and its position in the market place as well as defining a clear set of objectives for the M&A process is the first and critical step to a successful outcome.

M & A Memorandum
 

In the case of a company sale, this will take the form of a sales memorandum, which forms the main marketing document for discussion with prospective purchasers.

In other circumstances, the memorandum is used as an understanding between SRB and its clients to aid in the search process and on occasion as a briefing or pitch document to provide to prospective partners.

Prospect Research
 

We have an extensive network of contacts within the IT and Financial services sectors which gives us a head start in establishing the pool of propspects that are available to approach.

SRB will provide a review of prospects with profiles for discussion before making our initial approaches.

First Approach
  SRB will approach our agreed list of prospects confidentially and arrange meetings with interested parties. Generally, at this stage we are able to shortlist appropriate targets.
Negotiations
 

Having identified the best prospects, our focus at this stage is to establish the best value, best fit deal we can.

We will report back with indicative packages on offer.

Due Diligence
 

This is an absoluteley critical part of the process and one in which SRB is a specialist (so much so that we offer this as a stand alone service in its own right).

The process of formally establishing that the deal is accurately reflected in the on-going businessses of both parties is essential - and sometimes presents a reality check that may either change the nature of the deal or cause it to breakdown completely.

It is critical that this stage is undertaken in the most thorough way possible.

Completion
 

Finalising the deal and processing the necessary legal work can complete our role - however, we do find that the extra service of developing an integration plan is often the best way to ensure the solution to your business growth needs is effected in the most efficient manner.
